			<content:encoded><![CDATA[<p>The global financial crisis has had, and will continue to have, a substantial impact on business valuations; we&#8217;re starting to see changes in vendor terms of negotiation and expectations of price. Business owners looking to sell before retirement are taking lower multiples or are deciding against retirement and are instead remaining with the business.</p>
<p>                               <P>We are currently working with our portfolio companies to look at opportunities for interstate and international expansion. Doing this now, in the current climate, means that we may have access to better, more-experienced management teams than we would otherwise. </p>
<p><P>For investors in a fund like ours this makes for a positive environment in which to take stakes in well-run businesses where the former owner may be remaining with the company in a management role. This is a good time to work <i>internally</i> on a business to grow market share and establish the business as a leader when conditions improve.</p>
<p><P><i>You don&#8217;t make money by buying at the top of the market</i>. This is important to remember when being bombarded by negative messages from the mainstream press. Many potential investors have been deterred from taking the step, but now really is the best time to invest.</p>

			<content:encoded><![CDATA[<p>At Torrens Capital one thing we&#8217;re aware of is that many people aren&#8217;t entirely clear on how private equity works. Accordingly, these newsletters will feature information not just about what Torrens Capital is doing in a specific sense, but also what it <i>does</i> in a general sense.</p>
<p>Torrens Capital operates on a <i>called-capital</i> basis whereby investors, usually high-net-worth individuals, make a <i>commitment</i> of capital to our fund. This is an important point to make for people who aren&#8217;t familiar with the process: rather than paying the committed amount upfront and Torrens Capital holding this money the investors agree to provide funds up to a certain amount if and when called upon.</p>
<p><P>Torrens Capital makes investments into small-to-medium-sized businesses and then assists those businesses to achieve growth through working closely with the Management Team. Upon such an investment being approved by the investment committee we call on a portion of the capital committed by our investors during the investment period of the fund. The capital is only called when an investment is made and capital may only be called up to the committed amount &#8211; and all management fees and costs are included in the committed capital, providing certainty that there are no hidden or unexpected costs.</p>

<p> <b><i>Adelaide, 2 April 2009 </i>- Torrens Capital today announced that it has entered into an agreement to become the major shareholder in Doug Dick &#038; Co. (DDC), provider of cemetery and crematorium consultancy services and memorial-project solutions.</b></p>
<p>Torrens Capital Managing Director Joel Hepburn-Brown said, &#8220;DDC possesses strong fundamentals, has a nationwide client base, and has an enviable reputation in the industry.
